General Conditions of Use

PREAMBLE 

Team Vitality is an esport club renowned in France and abroad. In addition to its core business, Team Vitality markets equipment, accessories, textiles and products derived from its teams through an online shop. The list and description of the products for sale can be found on the website at https://shop.vitality.gg. 

ARTICLE 1 - DEFINITIONS 

UGC the present general conditions of use

ORDER : any request for Products made by a User on the Site

USER CONTENT : data transmitted by the User on the Site

COOKIES : files deposited and read on the hard drive of the User’s computer in order to facilitate his navigation on the Site and to offer him the pages that correspond best to him during his various visits

USERNAME AND PASSWORD : all information necessary for the identification of a User on the Site; the Username and Password provide access to Services reserved for Members; the password is confidential

MEMBER : User identified on the Site

PRODUCTS all the products offered for sale on the Site

SERVICES the contents and services of the Site

USER any person consulting the Site

ARTICLE 2 - SCOPE AND ACCEPTANCE OF CGU'S

The TOU apply to all Users of the Site. Their purpose is to define the terms and conditions of use of the Site by Users and Members. By consulting the Site or by placing an Order, the User acknowledges accepting the TOU without reservation or restriction.

ARTICLE 3 - AMENDMENT OF THE CGU

Team Vitality reserves the right to unilaterally change the TOU without notice. In general, the User is invited to consult the TOU before each navigation on the Site. By accessing the Site, the User is deemed to have accepted without reservation or restriction the modifications that would have taken place since his last visit.

ARTICLE 4 - ACCESS TO THE SITE AND SERVICES

The Site is accessible free of charge in any place to any User having access to the Internet, the costs of access to the Site (computer equipment, software, Internet connection, etc.) being at the expense of the User. The Non-Member User does not have access to the Services reserved for Members and accessible after identification using a Username and a Password.

Team Vitality endeavours to provide access to the Site and Services 24/7. Team Vitality declines all responsibility in case of failure, interruption or alteration of access to the Site or the Services that would result from cases of force majeure, IT difficulties, difficulties related to telecommunications networks or any technical difficulties. 

Team Vitality reserves the right to temporarily suspend access to the Site or the Services without prior notice, in particular for maintenance reasons, without being held responsible for any direct or indirect damages that may result, including inaccessibility or loss of data to the User.

Team Vitality reserves the right to refuse access to the Services, unilaterally and without prior notification to any User who does not respect the TOU.

Team Vitality cannot be held responsible in the event that the User is unable to connect to the Internet network.

Access to the Site allows you to access the following Services: find out about the Products sold by Team Vitality and place Product Orders.

ARTICLE 5 - SERVICES RESERVED FOR MEMBERS

5.1 Registration

Access to certain Services and in particular to all paid services is subject to the User's registration.

 
Registration and access to certain Services are reserved exclusively to natural persons who are capable, having completed and validated the registration form available online on the Site.

 
When registering, the User undertakes to provide accurate, sincere and up-to-date information about his person and marital status. The User must also carry out a regular verification of the data concerning him in order to maintain its accuracy.

 
The User must therefore provide a valid e-mail address, on which Team Vitality will send a confirmation of its registration for the Services. An email address cannot be used multiple times to register for the Services.

 
Only one registration to the Services of the Site is allowed per natural person.

 
The User accesses a space to which access is reserved for him/her (hereinafter the ""User Space""). Personal Area "), by entering his Identifier and Password. 

 
The Password can be changed online by the User in his Personal Space. 

 
In any event, the Site reserves the right to refuse a request to register for the Services in the event that the User does not comply with the provisions of these Terms.

5.2 Unsubscribing

The regularly registered User may at any time request to unsubscribe by visiting the dedicated page in his Personal Area. Any withdrawal from the Services will be effective within one week, after the User has completed and sent the form provided for this purpose.

5.3 Deletion of the Personal Space at the initiative of Team Vitality

Team Vitality reserves the right to remove the Personal Area from any User who contravenes these Terms and Conditions and, in particular, in the following cases:

• If the User makes an illicit use of the Site ;

• If the User, during the creation of his Personal Space, voluntarily transmits erroneous information ;

• If the User has not been active on his Personal Space for at least one year.

In the event that Team Vitality decides to delete the User’s Personal Area for any of these reasons, such deletion shall not constitute damage to the User.

 
This deletion cannot presume a waiver of legal proceedings that Team Vitality may undertake in respect of the User who has violated these rules.

ARTICLE 6 - HYPERLINKS

The Site may contain hyperlinks to other sites on the Internet, such as Team Vitality’s Facebook, Twitter, Instagram and YouTube pages. 

With respect to third party sites to Team Vitality, the User acknowledges that Team Vitality assumes no responsibility for the provision of the resources of these sites, and cannot be held responsible for their content.

ARTICLE 7 - LIMITATION OF LIABILITY

The User is responsible for any damage of any kind, material or immaterial, caused to any third party, including to Team Vitality, due to the illicit use or exploitation of the Site or the Services, whatever the cause and place of occurrence of such damage, and guarantees Team Vitality the consequences of any claims or actions that it may, as a result, be the subject of. 

The User of the Site expressly waives any right of recourse against Team Vitality in the event of legal proceedings brought by a third party against him or her in connection with the illegal use and/or exploitation of the Site or the Service.

The User is responsible for the use of his Username and Password, which he ensures to preserve the confidentiality, without the responsibility of Team Vitality being sought in the event of disclosure by the User of its Username or Password.

If applicable, any User Content is put online under the responsibility of the User, who undertakes not to put on line any content that may harm the interests of third parties. User Content may be deleted or modified by Team Vitality at any time and for any reason.

Team Vitality makes every effort to provide Users with available and verified information and/or tools, but cannot be held responsible for errors (including erroneous emails sent), loss of any User Content, a lack of availability of information and/or the presence of viruses on the Site, any malfunction of the Internet network, interruptions, delays in data transmission, failures of the computer, modem, telephone, tablet, servers, Internet service providers, software and, more generally, the loss of any data, the consequences of any viruses, computer bugs, anomalies, technical, hardware or software failures of any kind, in particular having damaged a User’s computer and/or telephone system and/or tablet. 

It is the responsibility of all Users to take appropriate measures to protect their own data and/or software stored on their computer and telephone equipment or tablet from any breach. 

ARTICLE 8 - INTELLECTUAL PROPERTY AND IMAGE RIGHTS

Team Vitality holds intellectual property rights over all elements, including its trademarks, illustrations, images, logotypes, photographs, video, sounds, texts composing the Site or the Services. Consequently, any reproduction, representation, adaptation, translation and/or partial or integral transformation and/or transfer to another website of any element or data composing the Site or the Service, by any means, for any reason and on any medium whatsoever, without the prior written permission of Team Vitality, is strictly prohibited. The same applies to all copyrights, drawings and models that are the property of Team Vitality.

Failure to comply with this prohibition is likely to constitute an act of counterfeiting involving the civil and/or criminal liability of its author. Team Vitality reserves the right to take legal action against anyone who does not respect this ban.

ARTICLE 9 - PERSONAL DATA

Team Vitality informs the Users that the personal data (IP address in particular) collected during the navigation on the Site are processed electronically in order to offer a better browsing experience and use of the Services, to make statistics on the Website and to obtain the consent of the User for the use of certain cookies. Connection data may be processed for purely statistical purposes. 

The purposes and recipients of the processing resulting from the collection of personal data are detailed in the Personal Data Charter, as well as the period of retention of the data, the related rights of the persons concerned and their conditions of exercise. ARTICLE 10 - NEWSLETTER

Team Vitality may send to Users registered with its newsletter, by e-mail called “prospecting”, information allowing them to know new products and special offers. The User will have the possibility to object to the use of his personal data for this purpose, free of charge, except for those related to the transmission of the refusal, when these are collected and whenever a prospecting email is sent to him, click on the unsubscribe link at the bottom of each newsletter.

ARTICLE 11 - PARTIAL INVALIDITY 

If any of the stipulations of the TOU are declared null or void in the light of a legislative or regulatory provision in force and/or a legal decision having res judicata, it shall be deemed unwritten and shall not give rise to the nullity of the other provisions. 

ARTICLE 12 - APPLICABLE LAW

The TOS are governed by French law.

By accessing the Website, the User is deemed to have accepted without reservation or restriction the modifications that may have occurred since his/her last visit.

ARTICLE 4 - ACCESS TO WEBSITE AND SERVICES

The Website is accessible free of charge anywhere to any User having access to the Internet, the costs of access to the Website (hardware, software, Internet connection, etc.) being the responsibility of the User. The non-Member User does not have access to the Services reserved for Members and accessible after identification using a Login and a Password.

Team Vitality strives to provide access to the Website and the Service 24 hours a day, 7 days a week. Team Vitality declines all responsibility in the event of breakdown, interruption or alteration of access to the Website or Services resulting from force majeure, computer difficulties, difficulties related to telecommunications networks or any technical difficulties.

Team Vitality reserves the right to suspend momentarily and without notice access to the Website or the Services, notably for maintenance reasons, without it being held liable for any direct or indirect damage that may result, including inaccessibility or loss of data for the User.

Team Vitality reserves the right to refuse access to the Services, unilaterally and without prior notice to any User who does not respect the Terms.

Team Vitality cannot be held responsible in case the User fails to connect to the Internet.

Access to the Website provides access to the following Services: find out about the Products sold by Team Vitality and place Products Orders. 

ARTICLE 5 - SERVICES RESERVED FOR MEMBERS

5.1 Registration

Access to certain Services and in particular to all paid services is subject to User's registration. 

Registration and access to certain Services are reserved exclusively for capable individuals who have completed and validated the registration form available online on the Website.

When registering, the User undertakes to provide accurate, sincere and up-to-date information about himself/herself and his/her civil status. The User must also regularly check the data concerning him/her in order to maintain its accuracy.

The User must therefore provide a valid e-mail address, to which Team Vitality will send confirmation of his/her registration to the Services. An email address cannot be used more than once to register for Services.

Only one registration to the Services is allowed per natural person. 

The User accesses an account to which access is reserved for him/her (hereinafter the ""Personal Account") by entering his/her Login and Password. 

Password can be changed online by the User in his/her Personal Account. 

In any event, the Website reserves the right to refuse an application to register for the Services in the event of non-compliance by the User with the provisions of these Terms.

5.2 Unsubscription

Regularly registered User may request to unsubscribe at any time by going to the dedicated page in his/her Personal Account. Any unsubscription to the Services will be effective within one week, after User has completed and sent the form provided for this purpose.

5.3 Deletion of the Personal Account at the initiative of Team Vitality

Team Vitality reserves the right to delete the Personal Account of any User who contravenes these Terms and, in particular, in the following cases:

• If the User makes an illicit use of the Website;

• If the User, during the creation of his/her Personal Account, voluntarily gives wrong information to the Website;

• If the User has not been active on his Personal Account for at least one year. 

Should Team Vitality decide to delete the User's Personal Account for one of these reasons, this deletion shall not constitute a damage for the User.

This deletion shall not presume a waiver of the legal proceedings that Team Vitality may take against the User who has violated these rules.

ARTICLE 6 - HYPERTEXT LINKS

The Website may contain hypertext links to other websites on the Internet, such as the Team Vitality's Facebook, Twitter, Instagram and Youtube pages.

Regarding third party websites to Team Vitality, the User acknowledges that Team Vitality assumes no responsibility for the provision of resources of these sites and cannot be held responsible for their content.

ARTICLE 7 - LIMITATION OF LIABILITY

The User is liable for damages of any kind, whether tangible or intangible, caused to any third party, including Team Vitality, as a result of the unlawful use or exploitation of the Website or the Services, whatever the cause and location of occurrence of such damage, and guarantees Team Vitality against the consequences of any claims or actions to which it may be subject as a result.

The Website User expressly waives the right to exercise any recourse against Team Vitality in the case of legal proceedings instituted by a third party against him/her as a result of the unlawful use and/or exploitation of the Site or Service.

The User is responsible for the use of his/her Login and Password, whose confidentiality he/she is careful to preserve, and Team Vitality cannot be held liable in the event of disclosure of his/her Login or Password by the User.

Where applicable, any User Content is put online under the responsibility of the User, who undertakes not to put online content that may affect the interests of third parties. User Content may be deleted or modified by Team Vitality at any time and for any reason.

Team Vitality makes every effort to provide Users with available and verified information and/or tools, but cannot be held responsible for errors (including sending incorrect e-mails), loss of any User Content, a lack of availability of information and/or the presence of viruses on the Website, any malfunction of the Internet network, interruptions, delays in data transmission, failures of the computer, modem, telephone, tablet, servers, Internet service providers, software and, more generally, the loss of any data, the consequences of any virus, computer bug, anomaly, technical failure, hardware or software of any kind whatsoever, in particular having damaged the computer and/or telephone system and/or tablet of a User.

It is the responsibility of any User to take appropriate measures to protect his/her own data and/or software stored on his/her computer and telephone equipment or on his tablet against any infringement.

ARTICLE 8 - INTELLECTUAL PROPERTY AND IMAGE RIGHTS

Team Vitality is the owner of the intellectual property rights on all the elements, in particular its trademarks, illustrations, images, logos, photographs, photographs, video, sounds and texts that make up the Website or the Services. Therefore, any reproduction, representation, adaptation, translation and/or partial or complete transformation and/or transfer to another website of any element or data composing the Website or the Service, by any means, for any reason and on any medium without the prior written permission of Team Vitality, is strictly prohibited. The same applies to all copyright and design rights owned by Team Vitality.

Failure to comply with this prohibition is likely to constitute an act of infringement involving the civil and/or criminal liability of its author. Team Vitality reserves the right to take legal action against anyone who does not comply with this prohibition.

The User will have the possibility of objecting, free of charge, except for those related to the transmission of the refusal, to the use for this purpose of his personal data when these are collected and each time a prospecting e-mail is sent to him, in particular by clicking on the unsubscribe link present at the bottom of each newsletter.

ARTICLE 11 - PARTIAL INVALIDITY

If any of the provisions of the Terms is declared void or irrelevant under a legislative or regulatory provision in force and/or a court decision having the authority of res judicata, it will be deemed unwritten and will not invalidate the other provisions.

ARTICLE 12 - APPLICABLE LAW 

The Terms are governed by French law.
